Client Service Agreement
Agent In Air LLC d/b/a AgentInAir

This Client Service Agreement ("Agreement") is entered into by and between Agent In Air LLC, a Michigan limited liability company doing business as AgentInAir ("Company"), and the business entity or individual identified during account registration ("Client"). This Agreement governs Client's access to and use of the Company's AI voice receptionist platform.
1. Services Provided
Subject to the terms of this Agreement and timely payment of all applicable fees, the Company agrees to provide Client with access to the AgentInAir AI voice receptionist platform, which includes:
- One (1) dedicated local phone number provisioned for Client's use
- AI-powered automated call answering and appointment booking
- SMS appointment confirmation messages sent to callers
- Online dashboard for call analytics, calendar management, and settings
- Technical support via email during normal business hours
- All platform updates and new features released during the subscription term
The Company will use commercially reasonable efforts to maintain platform availability of at least 99% uptime, excluding scheduled maintenance and circumstances beyond the Company's reasonable control.
2. Subscription Term and Fees
2.1 Initial Term
This Agreement begins on the date Client completes account registration and continues on a month-to-month basis unless terminated in accordance with Section 6.
2.2 Free Trial
Client shall receive a 30-day free trial period commencing on the date of registration. No payment is required during the trial period.
2.3 Subscription Fees
Following the free trial, Client agrees to pay the monthly subscription fee as agreed upon during registration. Founding Member pricing is guaranteed for the duration of continuous service. The Company reserves the right to change standard pricing with 60 days written notice to non-Founding Member clients.
2.4 Payment
Client authorizes automatic monthly billing to the payment method on file. All fees are due in advance. Failure to pay within 7 days of the due date may result in suspension of Services.
3. Client Obligations
Client agrees to:
- Provide accurate business information including hours, services, staff, and pricing
- Keep account information current and up to date
- Disclose to callers that calls are handled by an AI receptionist, as required by Michigan law (MCL 750.539c) and applicable federal regulations
- Designate a primary contact person responsible for account management
- Ensure staff are informed of and trained to manage AI-booked appointments
- Use the Services only for lawful business purposes
- Not attempt to circumvent, hack, or abuse the platform or its underlying systems
- Maintain appropriate business licenses and insurance
4. Phone Number and Call Forwarding
The Company will provision a local U.S. phone number for Client's exclusive use during the subscription term. This number:
- Remains the property of the Company and its telecommunications provider (Twilio)
- Will be released upon termination of this Agreement
- May be ported to Client's ownership upon request and at Client's expense, subject to telecommunications provider approval
Client is responsible for setting up call forwarding from their existing business number to the provisioned AgentInAir number, if desired. The Company recommends using *72 call forwarding on most U.S. carriers.
5. Limitation of Liability and Disclaimer
5.1 THE SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTY, EXPRESS OR IMPLIED. THE COMPANY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM TECHNICAL FAILURES.
5.2 AGENT IN AIR LLC SHALL NOT BE HELD RESPONSIBLE OR LIABLE, AND CLIENT EXPRESSLY WAIVES ANY CLAIMS AGAINST AGENT IN AIR LLC, FOR ANY LOSSES, DAMAGES, LOST REVENUE, LOST CUSTOMERS, OR OTHER HARM ARISING FROM:
- Service outages, interruptions, or technical failures
- Failures of third-party services including telecommunications providers, AI processing services, or cloud hosting providers
- Missed calls, failed appointment bookings, or AI errors
- Delays in response or processing due to high call volume or system load
- Loss of data due to technical failure
5.3 IN NO EVENT SHALL THE COMPANY'S TOTAL LIABILITY TO CLIENT EXCEED THE TOTAL AMOUNT PAID BY CLIENT IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
5.4 CLIENT ACKNOWLEDGES THAT THE AI RECEPTIONIST TECHNOLOGY MAY NOT PERFECTLY HANDLE ALL CALLER INTERACTIONS AND THAT HUMAN OVERSIGHT AND FOLLOW-UP MAY BE NECESSARY.
6. Term and Termination
6.1 Termination by Client
Client may cancel this Agreement at any time by providing written notice via email to sarah@agentinair.com or through the account dashboard. Cancellation takes effect at the end of the current billing period.
6.2 Termination by Company
The Company may terminate this Agreement immediately for: (a) non-payment of fees; (b) material breach of this Agreement; (c) illegal or abusive use of the Services; or (d) any conduct that harms the Company or other clients.
6.3 Effect of Termination
Upon termination, Client's access to the Services will cease, the provisioned phone number will be released, and Client data will be retained for 90 days before permanent deletion.
7. Confidentiality
Each party agrees to maintain the confidentiality of the other party's proprietary information and trade secrets. Client's caller data, business information, and pricing are confidential. The Company's technology, algorithms, and pricing structures are confidential.
8. Governing Law
This Agreement is governed by the laws of the State of Michigan. Any disputes shall be resolved exclusively in the courts of Ingham County, Michigan. The prevailing party in any legal action shall be entitled to recover reasonable attorneys' fees.
9. Entire Agreement
This Agreement, together with the Terms of Service and Privacy Policy available at agentinair.com, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, representations, or agreements.
10. Amendments
This Agreement may be amended by the Company with 30 days written notice to Client. Continued use of the Services after the effective date of amendments constitutes acceptance.
